Terms & Conditions

1. Provider and scope

These terms govern use of Metadancer and purchases of Metadancer credits from Oliver Marquardt – Business Consultant, Kleine Witschgasse 8, 50676 Cologne, Germany (“Metadancer”, “we”). They apply to consumers and businesses unless a provision expressly says otherwise.

2. Service

Metadancer assists users in reading, generating, reviewing and exporting image metadata. Generated titles, descriptions, keywords, categories and release assessments are automated suggestions. Users must review results before publication and remain responsible for accuracy, legality, third-party rights, model/property releases and stock-platform compliance. We do not guarantee acceptance by any marketplace or a particular commercial result.

3. Accounts

You must provide accurate information, keep login details confidential and notify us promptly of suspected misuse. You may not use the service unlawfully, interfere with its operation, bypass security or credit controls, or upload material you are not entitled to process. We may suspend access where reasonably necessary to protect the service, users or third parties.

4. Uploaded content

You retain your rights in uploaded images and metadata. You grant us the limited, non-exclusive right to host, copy and transmit that content only as necessary to provide and secure the service. You confirm that processing the content does not infringe copyrights, privacy, personality or other third-party rights.

5. Credits and prices

The bundle, price, VAT, included credits and analysis cost shown immediately before purchase apply. Credits are prepaid units for using eligible Metadancer functions; they are not money, cannot be transferred or redeemed for cash, and currently do not expire while the service and account remain available. Credits are deducted when an analysis is requested, including where the resulting suggestion is not used. Statutory warranty and refund rights remain unaffected.

6. Contract and payment

Bundle displays are invitations to place an order. By activating the clearly labelled payment control and completing PayPal checkout, you submit a binding order. The contract is concluded when payment is confirmed and credits are assigned. Prices are in euros and include the displayed VAT. An electronic invoice is provided. Available payment methods and any territorial restrictions are displayed at checkout.

7. Consumer withdrawal

If you are a consumer, you generally have a statutory 14-day right of withdrawal for distance contracts. For digital content or a digital service supplied before that period ends, the right may expire only after your express consent to early performance and your acknowledgement of the resulting loss of the withdrawal right, where the statutory conditions are met. Until an appropriate express-consent step is presented at checkout, we will not rely on an early-expiry waiver. To exercise a right of withdrawal, email an unequivocal statement to hello@metadancer.de.

8. Availability and changes

We aim for reliable availability but do not promise uninterrupted operation. Maintenance, security issues and third-party services may cause interruptions. We may develop the service and adjust future credit prices or consumption rates; changes do not retroactively reduce an existing credit balance.

9. Warranty and liability

Statutory warranty rights apply. We are liable without limitation for intent, gross negligence, injury to life, body or health, fraudulent concealment, guarantees and mandatory product liability. For slight negligence affecting an essential contractual obligation, liability is limited to the foreseeable damage typical for the contract. Otherwise, liability for slight negligence is excluded to the extent permitted by law.

10. Termination

You may stop using the service at any time and request account deletion. Deletion does not remove records we must retain by law, including invoices and tax records. We may terminate or suspend accounts for material or repeated breaches after reasonable notice, unless immediate action is necessary.

11. Governing law

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer, this choice does not deprive you of mandatory protections of your country of habitual residence. Statutory rules determine jurisdiction.
